Welcome to Pathik, a B2B marketing management platform developed and operated by RM Ad & Tech Inc. (“Pathik,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our platform, including our website, dashboard, APIs, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Services.
1. Definitions
- “Customer” refers to the entity or individual who has registered to use the Services.
- “User” means an authorized individual acting on behalf of a Customer.
- “Data” includes Customer campaign data, analytics, performance metrics, and user inputs.
- “Platform Partners” include Google, Meta, TikTok, DV360, and others integrated with Pathik.
- “API” refers to Pathik’s application programming interfaces.
- “Affiliate” means an entity under common ownership or control with either party.
- “Sub-Processor” refers to a third party authorized by Pathik to process data on behalf of Customers.
2. Scope of Agreement
These Terms apply to all uses of the Pathik platform, including trial and paid subscriptions. Pathik reserves the right to update these Terms and will notify users of material changes.
3. Service Description
Pathik enables advertisers to plan, launch, monitor, and optimize campaigns across digital platforms, leveraging automation, analytics, AI bidding, and performance tracking. While our tools are designed to enhance outcomes, customers are responsible for verifying accuracy and ensuring compliance before activating campaigns.
4. Account Types & Access Rights
Each Customer account may include multiple Users, Brands, or Sub-Brands. Users must not share access credentials and are responsible for all activity under their login. Access can be revoked at any time for security, compliance, or violation of these Terms.
5. Customer Responsibilities
- Maintain accurate company & billing information.
- Review, validate, and approve all AI-generated actions before applying to campaigns.
- Monitor performance metrics and intervene where needed.
- Ensure compliance with all applicable marketing laws and platform partner rules.
- Do not upload unlawful, defamatory, infringing, or misleading content.
- We enforce these Terms to ensure compliance with applicable laws and platform partner rules, including periodic audits of Customer activities and the right to suspend or terminate accounts for misuse.
- Customers are liable for any data breaches resulting from their non-compliant use of the Services.
6. Platform Responsibilities
Pathik provides infrastructure, tools, and automation to support campaign delivery and measurement. We do not guarantee advertising outcomes or revenue improvements. Customers are advised to independently assess results and adjust strategies.
7. Intellectual Property & Feedback
All software, documentation, algorithms, and interface designs remain the exclusive property of RM Ad & Tech Inc. Customers may not reverse-engineer, decompile, or otherwise attempt to derive the source code or functionality of the Services. Customers retain ownership of their uploaded content and data. By submitting feedback, suggestions, or improvements, Customers grant Pathik a perpetual, royalty-free license to use such input for product enhancement.
8. Payment Terms
Fees are billed monthly unless stated otherwise. Pathik may suspend access for non-payment. Taxes, if applicable, are the responsibility of the Customer.
9. Support & Service Levels (SLA)
Standard support is available via the Pathik platform and email at developeradmin@pathik.ai. Enterprise customers may be eligible for custom SLA terms, including response time guarantees and uptime commitments.
10. API, AI Output, and Data Accuracy
Use of Pathik’s APIs and automated bidding/optimization tools must comply with published documentation. API rate limits and throttling may be enforced. AI-generated recommendations are based on available inputs and historical data, and should not be considered advice or final outputs. Customers are required to verify changes before execution. Abuse of APIs may result in account suspension or termination.
11. Use of Third-Party Tools & Platforms
The platform integrates with APIs and datasets from advertising partners. Customers must comply with the terms of each third-party platform (Google Ads, Meta Ads, TikTok, etc.). Pathik is not responsible for interruptions or policy changes by these third parties. Pathik is not liable for Customer violations of third-party platform terms.
12. Multi-Tenant Hierarchy & Data Segregation
Each Customer account supports sub-accounts and brand hierarchies. Pathik ensures data isolation between customers and sub-brands. Cross-access between brands or businesses is strictly prohibited and technically restricted.
13. Confidentiality
Both parties agree to keep confidential any non-public information shared in relation to the Services. Customers must ensure their authorized users maintain the confidentiality of Pathik’s non-public information. This obligation remains for five (5) years after termination, except for trade secrets which remain protected as long as they retain that status under law.
14. Term & Termination
This agreement remains active until terminated by either party. Pathik may suspend or terminate access with immediate effect for breach, misuse, API abuse, or legal requirement. Customers may terminate anytime with 30 days’ written notice. No refunds will be issued after the first 14 days of use. Upon termination, Personal Data will be handled per Annex A – Data Processing Agreement.
15. Indemnification
You agree to indemnify Pathik, its officers, employees, and affiliates against all claims arising from:
- Use of the Services in breach of law or third-party platform terms (e.g., Meta Ads, Google Ads).
- Data misuse, API abuse, or campaign mismanagement.
- Customer content, including advertisements and custom inputs.
16. Limitation of Liability
To the extent permitted by law:
- Pathik is not liable for indirect, incidental, or consequential damages.
- Pathik is not liable for damages arising from interruptions or policy changes by third-party platforms.
- Total aggregate liability is limited to the fees paid by the Customer in the past 3 months.
- These limits do not apply to indemnification obligations, data misuse, or fraud.
17. Data Processing & Privacy
Pathik acts as Data Processor for end-user data and as Data Controller for advertiser data. A separate Privacy Policy outlines our practices. Customers agree to data processing and cross-border transfers in accordance with GDPR, CCPA, PDPA, and other applicable frameworks. See Annex A – Data Processing Agreement (DPA).
18. Subcontractors & Affiliates
Pathik may use third-party partners (e.g., cloud providers, security vendors, development agencies) to operate the platform. We remain fully responsible for their compliance under these Terms. Customers must ensure all authorized users also comply.
19. Platform Improvements & Feedback
We reserve the right to update or modify Services to improve performance, security, or compliance. Any feature requests, enhancements, or usage insights may be used to guide product roadmap.
20. Governing Law & Dispute Resolution
This agreement is governed by the laws of the State of North Carolina, USA, without regard to its conflict of law principles, except where mandatory local laws (e.g., GDPR, LGPD) apply to specific data protection rights. Disputes shall be resolved through binding arbitration in North Carolina, USA. Each party waives rights to class action or jury trial to the extent permitted by law.
21. Modifications
Pathik may modify these Terms with 30 days’ notice via email or posting on pathik.ai. Continued use after the effective date implies acceptance of the changes.

Annex A – Data Processing Agreement (DPA)
This Data Processing Agreement (“DPA”) forms part of the Terms & Conditions between RM Ad & Tech Inc. (“Pathik,” “Processor”) and the Customer (“Controller”) for the use of the Services. It governs the processing of Personal Data by Pathik on behalf of the Customer in accordance with GDPR, CCPA, LGPD, and other applicable data protection laws.
1. Scope and Purpose
Pathik processes Personal Data provided by the Customer (e.g., campaign data, analytics, performance metrics) solely to provide the Services, including campaign management, optimization, and analytics, as instructed by the Customer. Personal Data includes data uploaded by the Customer or obtained via Platform Partner APIs (e.g., Google Ads, Meta Ads, TikTok Ads).
2. Customer Instructions
Pathik will process Personal Data only in accordance with the Customer’s documented instructions, as provided through the Services or in writing, unless required by applicable law. Customers are responsible for ensuring their instructions comply with data protection laws and Platform Partner terms.
3. Security Measures
Pathik implements industry-standard security measures, including AES-256 encryption for data in transit and at rest, multi-factor authentication, firewalls, malware protection, and annual security audits, as detailed in the Privacy Policy. In the event of a data breach, Pathik will notify the Customer and relevant authorities promptly, per applicable laws (e.g., GDPR Article 33).
4. Sub-Processors
Pathik may engage Sub-Processors (e.g., cloud providers, analytics vendors) to process Personal Data, as listed at pathik.ai/subprocessors. Pathik ensures Sub-Processors are bound by agreements providing equivalent data protection standards. Pathik remains liable for Sub-Processors’ compliance with this DPA, ensuring equivalent data protection standards. Customers consent to the use of listed Sub-Processors and will be notified of changes per the Terms.
5. Data Subject Rights
Pathik will assist Customers in responding to data subject requests (e.g., access, correction, deletion) by providing relevant information or tools within the Services. Customers are responsible for handling requests related to end-user data they control, and Pathik will direct such requests to the Customer.
6. Data Retention and Deletion
Pathik retains Personal Data only as necessary to provide the Services or comply with legal obligations (e.g., campaign data for 5 years for analytics, contact data for 3 years post-relationship). Upon termination or Customer request, Pathik will delete or anonymize Personal Data, unless required to retain it by law.
7. Audits and Compliance
Pathik will make available information necessary to demonstrate compliance with this DPA and applicable laws. Customers may request audits, subject to reasonable notice and confidentiality, to verify Pathik’s data processing practices. Pathik maintains records of processing activities per GDPR Article 30.
8. Cross-Border Transfers
Pathik may process Personal Data in the United States, EU, Brazil, or other jurisdictions, in compliance with the EU-U.S. Data Privacy Framework, LGPD, and Standard Contractual Clauses, as detailed in the Privacy Policy. Customers authorize such transfers for the purposes of the Services.
9. Liability
Pathik’s liability under this DPA is subject to the “Limitation of Liability” section of the Terms. Customers indemnify Pathik for claims arising from their failure to comply with data protection laws or Platform Partner terms.

This DPA remains in effect until termination of the Terms. Provisions regarding confidentiality, liability, and data deletion survive termination.
